Welcome to INTAJCO. These Terms and Conditions ("Terms") govern your use of the INTAJCO website, mobile applications, and all related services (collectively, the "Platform"), operated by INTAJCO ("INTAJCO," "we," "us," or "our").

1. Introduction and Acceptance of Terms

INTAJCO is a specialized online platform dedicated to connecting professionals within the Middle East and North Africa (MENA) film, television, and creative media industries. By registering for, accessing, or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Platform.

These Terms are in compliance with the laws of the Kingdom of Saudi Arabia, including the E-Commerce Law, the Consumer Protection Law, and the Personal Data Protection Law.

2. Definitions

"User": Anyone who accesses or uses the Platform, including Talent, Production Companies, and Resource Providers.
"Talent": Creative professionals who create profiles to showcase their skills and find work opportunities.
"Production Company": Individuals or companies who use the Platform to find and hire Talent for their projects.
"Resource Provider": Individuals or companies who list equipment, studios, locations, or other assets for rent.
"Consumer": A User who receives or benefits from a product or service on the Platform for purposes other than business.

3. Platform Services

INTAJCO provides three core services:

Job Marketplace ("Discover Jobs"): A service allowing Production Companies to post job opportunities and Talent to apply for them.
Talent Database ("Find Talent"): A searchable database of Talent profiles that Production Companies can use to source and hire professionals.
Rental Marketplace ("For Renting"): A marketplace where Resource Providers can list, and Production Companies can rent, equipment, locations, and other production-related assets.

4. E-Commerce Registration and Disclosures

4.1. Registration: INTAJCO is registered with the Saudi Ministry of Commerce (MoC) under Commercial Registration No. 705 and is an authenticated e-commerce platform.

5. User Accounts and Registration

5.1. Eligibility: You must be at least 18 years of age to create an account.
5.2. Account Security: You are responsible for safeguarding your password. You must notify us immediately of any unauthorized use of your account.

6. Consumer Rights in Saudi Arabia

In compliance with the Saudi Consumer Protection Law and E-Commerce Law, all Consumers on the Platform are guaranteed the following rights:

6.1. Right to Safe Products and Services: All products and services offered on the Platform must meet the quality and safety standards stipulated by the Saudi Standards, Metrology, and Quality Organization (SASO).
6.2. Right to Accurate Information: You have the right to clear and accurate information about all services, products, and their prices before making a transaction. Misleading advertising is strictly prohibited.
6.3. Right to Fair Treatment: You are protected from all unfair or deceptive business practices.
6.4. Right to Redress: You have the right to a refund, replacement, or repair for defective products or services, as detailed in these Terms.
6.5. Right to Privacy: Your personal data is protected under the Saudi Personal Data Protection Law (PDPL). Please see our Privacy Policy for more details.
6.6. Right of Cancellation (7-Day Return):: As a Consumer, you have the right to cancel a contract and return a product within seven (7) days of receiving it, provided you have not used the product and it can be returned to its original condition. This right does not apply to certain products, such as perishable goods, custom-made items, or digital content that has been downloaded.
6.7. Right of Cancellation (Delivery Delay): You have the right to cancel any order if we fail to deliver it within fifteen (15) days from the agreed-upon delivery date, unless the delay is due to a force majeure event.

7. Terms for Platform Services

7.1. Job Marketplace ("Discover Jobs")

Job Postings: Production Companies must provide accurate and complete details about the role, including scope, duration, location, and compensation. Job postings must not contain any misleading or discriminatory content.
Engagements: Any employment or contractual engagement is solely between the Talent and the Production Company. INTAJCO is not a party to such agreements.

7.2. Talent Database ("Find Talent")

Profiles: Talent agrees to provide accurate and non-misleading information in their profiles. INTAJCO does not verify the accuracy of all profile information but reserves the right to remove false or misleading content.
Account Hiring: Production Companies are responsible for their own due diligence before hiring any Talent.

7.3. Rental Marketplace ("For Renting")

Listings: Resource Providers must provide accurate descriptions of rental items. All items must be safe and comply with SASO standards.
Rental Agreement: The rental of any item creates a direct agreement between the Resource Provider and the Production Company.
Cancellations and Refunds: The 7-day return right applies to rental services where applicable. Specific cancellation policies for bookings will be clearly stated in each listing.

8. Data Protection and Privacy

8.1. Compliance with PDPL: INTAJCO is committed to protecting your personal data in accordance with the Saudi Personal Data Protection Law (PDPL), promulgated by Royal Decree No. M/19/1443. Our collection, use, and sharing of your personal data are described in our Privacy Policy.
8.2. Marketing Communications: We will not use your personal data for marketing purposes without your explicit prior consent. You may grant or withdraw this consent at any time through your account settings or by using the unsubscribe link in our communications. Withdrawing consent will be a straightforward and clear process.
8.3. Data Subject Rights: As a data subject in Saudi Arabia, you have rights over your personal data, including the right to access, correct, and request the deletion of your data. Please refer to our Privacy Policy for instructions on how to exercise these rights.

9. Fees and Payments

9.1. Service Fees: All applicable fees for our services will be clearly disclosed to you before you complete a transaction.
9.2. Payment Processing: All payments are processed through a payment service provider licensed by the Kuwaiti Central Bank (CBK). By making a payment, you agree to the terms of our designated payment provider.
9.3. Taxes: All prices are inclusive of Value Added Tax (VAT) and any other applicable taxes as required by the laws of Saudi Arabia.

10. Intellectual Property

10.1. Platform Content: INTAJCO owns all rights to the Platform and its content. You may not use our branding or content without our prior written permission.
10.2. User Content License: You grant INTAJCO a non-exclusive license to use your Content solely for the purpose of operating and promoting the Platform. You retain all ownership rights to your Content. You warrant that your Content does not infringe on the intellectual property rights of any third party, and you agree not to post counterfeit goods or materials.

11. Disclaimers and Limitation of Liability

11.1. Platform "As Is": The Platform is provided "as is." While we strive for accuracy and reliability, we do not warrant that the Platform will be error-free or uninterrupted.
11.2. User Interactions: INTAJCO is an intermediary platform. We are not a party to any agreements made between Users and are not responsible for their conduct or performance. We encourage all Users to conduct their own due diligence.
11.3. Limitation of Liability: Our liability in connection with your use of the Platform is limited to the extent permitted by Saudi law. We are not liable for indirect or consequential losses.

12. Indemnification

You agree to indemnify and hold harmless INTAJCO from any claims or damages arising out of your violation of these Terms or your use of the Platform, to the extent permitted by Saudi law.

13. Governing Law and Dispute Resolution

13.1. Governing Law: These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
13.2. Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Kingdom of Saudi Arabia.

14. Language

These Terms are provided in both Arabic and English. In the event of any discrepancy or conflict between the two versions, the Arabic text shall prevail in all legal interpretations and proceedings within the Kingdom of Saudi Arabia.

15. Acceptable Use and Prohibited Conduct

15.1. Acceptable Use: You agree not to use the Platform in any way that is unlawful, fraudulent, or harmful. You will not engage in any activity that could damage, disable, or impair the Platform. Prohibited activities include, but are not limited to, data scraping, distributing malware, and sending spam.
15.2. Non-Circumvention: You agree not to use the Platform to find a User and then complete a transaction or engagement independent of the Platform to avoid paying any applicable fees. A breach of this clause will result in the suspension or termination of your account and may lead to legal action.
15.3. Prohibited Content: You may not post Content that is illegal, fraudulent, defamatory, obscene, pornographic, offensive, infringes on intellectual property rights, contains viruses or malware, violates any applicable laws, promotes discrimination, hatred, or violence, or is false, misleading, or deceptive.
15.4. Prohibited Conduct: You may not impersonate any person or entity, harass or threaten other Users, interfere with the proper functioning of the Platform, attempt to gain unauthorized access to any part of the Platform, or use automated systems (bots, scrapers) to access the Platform without permission.

16. Account Suspension and Termination

16.1. Suspension or Termination by INTAJCO: We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent or illegal activity, repeated complaints from other Users, non-payment of fees, or providing false or misleading information, in accordance with the E-Commerce Law.
16.2. Effect of Termination: Upon termination, your right to use the Platform will immediately cease. We may delete your account and all associated Content. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.
16.3. Termination by User: You may terminate your account at any time by contacting us. You remain liable for all obligations incurred prior to termination.

17. General Provisions

17.1. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and INTAJCO.
17.2. Modification: We may revise these Terms from time to time. We will provide notice of any significant changes, and your continued use of the Platform after such changes will constitute your acceptance of the new Terms.
17.3. Severability: If any provision of these Terms is found to be invalid or unenforceable by a competent court in Saudi Arabia, the remaining provisions will continue in full force and effect.
17.4. Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision
17.5. Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
17.6. Third-Party Rights: These Terms do not confer any third-party beneficiary rights.
17.7. Force Majeure: INTAJCO shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
17.8. Electronic Signatures: Your acceptance of these Terms constitutes a valid and binding electronic signature, in accordance with the Saudi Electronic Transactions Law.
